10、12.00% based on the second fixing of London Metal Exchange (LME); net to the Buyer 9.00%. 折 扣 依据伦敦黄金交易市场协会第二天挂牌交易价格,总折扣为 12.00%,给买方的净折扣为 9.00%。Consultancy fee : 3.00%.顾问费 3.00%.: 1.50% for Buyers Intermediaries paid by Buyers account.1.50%为买方代表和所有买方的中介由买方的账户上付款。: 1.50% for Sellers Intermediaries pai

Buyer hold a righ
12、t to request for increasing the quantity of the AU Metal to be delivered per day, but Buyer need to issue the formal writing information to inform Seller Two (2) days in advance.随后各批 每天伍(5)吨, 买方有权要求增加每日运送黄金数量, 但买方需要提前两天发出正式的书面信息通知卖方。Payment : By ledger to ledger on a Bank to Bank basis. 付款方式 以银行对银行转

16、9.00% (Nine Percent): 总折扣为 12.00%,给买方的净折扣为 9.00%。1) Buyer pays to Seller 89.5% (Eighty Nine Point Five Percent). 买方只需付款 89.5到卖方账户。2) Sellers pays Consultancy fee to Sellers Intermediaries 1.50% (One Point Five Percent). 卖方须付中介顾问费 1.50%给买方顾问。3) Buyers pays Consultancy fee to Buyers Intermediaries 1.5
17、0% (One Point Five Percent).卖方须付中介顾问费 1.50%给卖方顾问。4. PROCEDURES 操作流程 1. Seller and Buyer sign the agreement for AU Metal by face to face or electronically, the electronic signatures are deemed acceptable to both parties, and exchange Color copies of passports of Seller and Buyer and their witness.买方和
18、卖方签署合约,面对面或电子签章方式是被双方所认可的合约,以及交换买方及卖方及双方见证人之护照复印件。2. Thereafter Buyer and Seller lodge the signed agreements for AU Metal to their respective banks. Buyer issues the confirmation letter to the Seller for setting up the window time for her Bank officers to commence the transaction. 随后买卖双方将已签署之合约各自交予其
19、银行。买方发出确认函予卖方确定开始银行窗口时间以便其银行官员进行交易。3. On the appointment day during the window time, Sellers Bank Officer shall directly contact Buyers Bank Officer to acknowledge of having received the agreement and be ready to perform as per transaction Code: Then :在约定银行窗口的时间内,卖方的银行官员联系买方银行官员确认已收到双方交易代码: 之合约书,并准备

Buyers bank officer will confirm the availability of cash on deposit in the amount of USD Two (2) Billion for the Proof of fund and guarantee for purchasing 200MT of AU Metal by faxing the Bank Tear Sheet to Sellers Bank Officer within the window time of the same banking day, and Buyer
21、also needs to send the copy of the Bank Tear Sheet by email to Seller as evidence and together with the Letter of Authorization as Appendix B for the verification on a bank to bank basis.买方的银行官员确认买方存有足够的现金贰拾(20)亿美元作为资金证明及保証购买贰佰(200)吨黄金,在银行窗口的时间内把银行对账单用传真交给卖方银行官员,同时买方将银行对账单副本用电邮寄给卖方作为凭证,及授权函查询如附录 B 以

After positive verification and acceptance of Buyers POF by Sellers bank officer, Sellers Bank officer will issue an Invitation letter as Appendix D to invite both of Buyers and Sellers delegations to attend a Table Top Meeting (TTM) in Sellers Bank which is HSBC, Hong Kong main office
23、 for blocking the funds. After Buyer
25、s funds has been blocked, Seller shall then arrange with their bank to issue a Cash Performance Bond of Bank Draft of two percent (2%) of the value of the 200MT of AU Metal which is in the face value amount of USD One Hundred and Sixty Million to guarantee for delivering the AU Metal to Buyer as sch

After the Performance Bond has been issued by Seller, then Seller hands over the Performance Bond to Buyer and Buyer shall then sign an acknowledgement of receipt of the said Perform

Within the same day in the meeting room, Buyer provides a Map of the delivery location and also provides the name together with his color copy of passport (or Hong Kong ID Card) of the authorized person who will sign for acknowledgement to rece
28、ive One Metric ton (1MT) of AU Metal to Seller. Then both parties sign the schedule of delivery and set up the date and time for delivering the first lift of One Metric ton (1MT) of AU Metal to Buyers designated location in Hong Kong. Within the same day, Buyer shall also arrange with their bank to
29、issue a Bank Draft of One Metric ton (1MT) to the Seller for guaranteeing the payment.
