6、al documentation and requirements for the Goods, approved by Party B and the Party A, and else be of merchantable quality, free from defects and suitable for the purpose for which they are intended to. 交付的货物应受到定量控制。当实际订单数量与合同数量有差异时，甲方应在出货前通知乙方，经双方协商同意方可发货。当甲方声明的数量与乙方接受的数量之间的差异应在丙方收货之日起十（10）个工作日内向甲方披
7、露，乙方可以拒绝接受货物剩余部分。 The delivered Goods shall be subject to quantitative control. When there is a difference between the actual order quantity and the contract quantity, Party A should notify Party B before shipping, and the goods can be shipped only after mutual agreement. The difference between the
8、quantity stated by Party A and the quantity accepted by Party B shall be disclosed to Party A within ten (10) working days after Party C receives the goods, and Party B may refuse to accept the rest of the goods. 甲方交付的货物应受到质量控制。 如果交付的货物不符合批准的要求或由于质量原因遭到拒收，质量原因经由甲乙双方参照前期双方确认的货物质量标准来鉴定，鉴定为不合格的，乙方可选择更换
9、货物或将货物退回给甲方，更换有缺陷货物（包括运输和海关费用）所5产生的所有费用均由甲方承担。 除了隐藏缺陷和不合格情况外，交付的货物在到货时应被视为可用。因此，最初被接受的材料后来都被证明是有缺陷的情况下，乙方有权发回，得到更换和换回对应的货款。The delivered Goods shall be subject to qualitative control. In case the delivered goods do not meet the approved requirements or are rejected due to quality reasons, quality re
10、asons are identified by both Party A and Party B with reference to the goods quality standards previously confirmed by both parties. If they are identified as unqualified, Party B may choose to replace the goods or return the goods to the Party A. All costs incurred in replacing defective goods (inc
11、luding transportation and customs fees) shall be borne by Party A. The delivered Goods shall be considered usable at the arrival except for the cases of hidden defects and non-conformity. Therefore, Party B shall have the right to dispatch back, obtaining the replacement or the crediting of money. 如

13、ty C has the right to reject the delivered goods.13. 合同的终止13. Termination在本合同有效期内，如果一方被发现违背合同条款，另一方有权终止合同。在本合同有效期内，如果一方要解除合同，一方想解散合同，应至少提前 3 个月书面通知，以尊重所有确认的采购计划和已开具的订单。During the validity of this contract if either of the two parties is found to have violated the stipulations herein, the other party
14、 has the right to terminate this contract.During the validity period of this contract, if one party wants to dissolution of the contract, one party who wants to dissolution of the contract shall submit a written notice at least 3 months in advance a 6condition to respect all the confirmed purchase p
15、lan and opened orders.14. 不可抗力14. Force Majeure由于水灾、火灾、地震、干旱、战争或合同一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本合同，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生 15 天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be responsible for failure or delay to perform all or any part of this contract due to flood, fi
16、re, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relevant party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter shall send a ce
17、rtificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.15. 争议解决15. Dispute Resolution因凡因本合同引起的或与本合同有关的任何争议，三方应首先尝试友好协商解决。如果一方向另一方发出协商通知之日起三十日内，争议仍未得到解决，则应将争议提交中国国际经济贸易仲裁委员会深圳分会，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。 Any dispute arising from
