Definition and Interpretation 定義和解釋In this Agreement, the following terms shall bear the following meanings: 在 本 協 議 中 ， 以 下 術 語 將 具 有 如 下 意 義 ：“Account” means the securities trading account(s) opened and maintained by the Company on behalf of Client pursuant to Account
6、 Opening Form and the terms of the Agreement; “帳 戶 ”指 本 公 司 依 據 帳 戶 開 戶 表 格 及 本 協 議 條 款 代 客 戶 開 立 及 維 持 的 一 個 或 多 個 證 券 交 易 帳 戶 ；“Account Opening Form” means the application submitted by Client to the Company in such form as required by the Company for the opening and maintaining of a securities tra
7、ding account under the terms of this Agreement; “帳 戶 開 戶 表 格 ”指 客 戶 為 了 開 立 及 維 持 本 協 議 條 款 下 的 證 券 交 易 帳 戶 ， 按 照 本 公 司 要 求 向 本 公 司 提 交 的 申 請 書 ；“AEOI” or “Automatic Exchange of Information” means the exchange of information for tax purpose in Common Reporting Standard developed by the Organization
8、for Economic Co-operation and Development. “AEOI”或 ”自 動 交 換 資 料 ”指 根 據 經 濟 合 作 與 發 展 組 織 制 訂 的 共 同 申 報 準 則 而 交 換 有 關 稅 務 方 面 的 資 料 ；“Agreement” means this Client Agreement for Securities Trading (Cash Account) between the Company and Client as may be varied, amended or supplemented from time to time

It manifests the contractual relationship between the Company and the Client wherein the Company acts as the Clients agent, or in such other capacity as disclosed to the Client, in the buying, selling and otherwise dealing of Securities and attend to other related administrative matters. “協 議 ”指 由

11、ompanys holding company and its subsidiaries and associated companies;“尚 乘 集 團 ”或 “集 團 ”指 本 公 司 的 控 股 公 司 及 其 附 屬 及 相 關 公 司 ；“Business Day” means a day (other than Saturday and Sunday) on which licensed banks and the Exchange are opened for business;“營 業 日 ”指 持 牌 銀 行 及 交 易 所 營 業 的 日 期 （ 星 期 六 、 日 除
12、外 ） ；“Client Information Statement” means the statement which contains information provided by the Client to the Company for the purpose of Account(s) opening;“客 戶 資 料 聲 明 ”指 客 戶 為 開 立 帳 戶 而 提 交 予 本 公 司 並 包 含 其 資 料 的 聲 明“Counterparty” means any agent appointed, engaged or instructed by the Company f
13、or executing, completing, implementing, clearing and settling the instructions and transactions on behalf of the Client; “交 易 對 手 ”指 由 本 公 司 委 任 、 聘 請 、 指 示 的 代 理 ， 為 本 公 司 的 客 戶 執 行 、 完 成 、 履 行 、 結 算 及 交 收 該 等 指 示 及 交 易 ；“CRS” or “Common Reporting Stand” means information standard for AEOI develope
14、d by the Organization for Economic Co-operation and Development” ; “CRS”或 ”共 同 申 報 準 則 ”指 由 經 濟 合 作 與 發 展 組 織 制 訂 的 自 動 交 換 資 料 的 資 料 準 則 ;“Exchange” means The Stock Exchange of Hong Kong Limited and any other exchange, market or association of dealers in any part of the world on which securities ar
15、e bought and sold; “交 易 所 ”指 香 港 聯 合 交 易 所 有 限 公 司 及 在 世 界 各 地 進 行 買 賣 的 任 何 其 他 交 易 所 、 市 場 或 交 易 商 協 會 ；“FATCA” or “Foreign Account Tax Compliance Act” means (i) sections 1471 to 1474 of the US Internal Revenue Code of 1986 or any associated regulations or other official guidance; (ii) any treaty,
16、 law, regulation or other official guidance enacted in any other jurisdiction, or relating to an intergovernmental agreement between the US and any other jurisdiction, which (in either case) facilitates the implementation of the legislation or guidance referred to in (i) above; and (iii) any agreeme
17、nt pursuant to the implementation of the legislation or guidance referred to in (i) or (ii) above with the US Internal Revenue Service, the US government or any governmental or taxation authority in any other jurisdiction.“FATCA”或 “外 國 帳 戶 稅 收 合 規 法 案 (Foreign Account Tax Compliance Act)”指 (i) 1986
18、年 美 國 國 內 收 入 法 第 1471 至 1474 條 及 其 關 聯 的 法 規 或 其 他 官 方 指 引 ； (ii) 為 有 助 於 實 施 上 列 (i)所 指 的 法 例 或 指 引 在 其 他 司 法 權 區 所 制 定 的 ， 或 與 美 國 與 其 他 司 法 權 區 簽 訂 的 跨 政 府 協 議 相 關 的 條 約 、 法 例 、 法 規 或 其 他 官 方 指 引 ； (iii)為 實 施 上 列 (i)或 (ii)所 指 的 法 例 或 指 引 而 與 美 國 稅 局 ， 美 國 政 府 或 其 他 司 法 權 區 的 政 府 或 稅 局 訂 立 的 協 議
19、;“HKSCC” means the Hong Kong Securities Clearing Company Limited; “中 央 結 算 公 司 ”指 香 港 中 央 結 算 有 限 公 司 ；“Hong Kong” means the Hong Kong Special Administrative Region of the Peoples Republic of China; “香 港 ”指 中 華 人 民 共 和 國 香 港 特 別 行 政 區 ；AMTDGM_CashClientAgreement - 20180109“Internet Securities Tradin
20、g Service” means the service provided by the Company to Client in purchase and/or saleof Securities through the Internet, and enables the Client to give instructions and to obtain quotations and other information through the Internet via computer or any device that can connect to the Internet; “互 聯
21、網 證 券 交 易 服 務 ”指 本 公 司 向 客 戶 提 供 的 服 務 ， 使 客 戶 能 夠 透 過 電 腦 或 能 夠 連 接 互 聯 網 的 設 備 ， 於 互 聯 網 發 出 指 示 及 獲 取 報 價 及 其 他 資 訊 ， 並 透 過 互 聯 網 買 入 及 /或 賣 出 證 券 ；“Instructions” means any instructions or orders instructed by the Client (or the Authorized Persons) to the Company in any any manner acceptable by t
22、he Company; “指 示 ”指 由 客 戶 （ 或 獲 授 權 人 士 ） 以 本 公 司 接 受 的 方 式 向 本 公 司 發 出 任 何 指 示 或 命 令“Login ID” means the Clients identification, used in conjunction with the Password, to gain access to the Internet Securities Trading Service”“登 入 號 碼 ”指 識 別 客 戶 身 份 的 名 稱 ， 須 配 合 密 碼 一 起 使 用 以 接 連 有 關 互 聯 網 證 券 交 易
23、 服 務 ；“Password” means the Clients password, used in conjunction with the Login ID, to gain access to the Internet Securities Trading Service;“密 碼 ”指 客 戶 的 密 碼 ， 須 配 合 登 入 號 碼 一 起 使 用 以 接 連 有 關 互 聯 網 證 券 交 易 服 務 ；“Regulators” means the SFC, the relevant Exchange, the relevant clearing house and any
24、other regulator whether in Hong Kong or elsewhere;“監 管 機 構 ”指 證 監 會 、 有 關 交 易 所 、 結 算 公 司 以 及 任 何 在 香 港 或 其 他 地 方 之 監 管 機 構 ；“Regulatory Rules” means the rules of the Regulators or other laws, rules, codes, guidelines, circulars and regulatory directions issued by the Regulators from time to time; “
25、監 管 規 則 ”指 由 監 管 機 構 不 時 發 佈 之 規 定 或 其 他 法 例 、 規 條 、 守 則 、 指 引 、 通 知 及 規 管 性 指 示 ；“Securities” means “securities” as defined in Part 1, Schedule 1 of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong) and interests in the collective investment scheme;“證 券 ”與 證 券 及 期 貨 條 例 （ 香 港
26、 法 例 第 571 章 ） 附 表 1 第 1 部 分 的 證 券 具 有 相 同 含 義 及 指 在 集 體 投 資 計 劃 中 的 權 益 ；“Securities and Futures Ordinance” means the Securities and Futures Ordinance (Chapter 571) of the Laws of Hong Kong;“證 券 及 期 貨 條 例 ”指 證 券 及 期 貨 條 例 （ 香 港 法 律 第 571 章）；“SFC” means the Securities and Futures Commission of Hong
27、Kong; “證 監 會 ”指 香 港 證 券 及 期 貨 事 務 監 察 委 員 會 ;“Transaction” means an executed Instruction or the allocation and acquisition of a new listing or issue of Securities. “交 易 ”指 一 項 已 執 行 的 指 令 或 分 配 和 獲 取 新 上 市 或 發 行 證 券 。AMTDGM_CashClientAgreement - 201801092. 28、with the related Client Information Statement and any Account Opening Form(s) which contain important terms and conditions that apply to and constitute the agreement on all Accounts that the Client open and maintain with the Company.本 協 議 書 ， 連 同 相 關 之 客 戶 資 料 聲 明 、 任 何 帳 戶 開 戶 表 格 及 確 認 書 所 載 之 重 要
29、 條 款 及 條 件 均 適 用 於 客 戶 在 本 公 司 開立 及 維 持 的 任 何 帳 戶 ， 並 構 成 完 整 協 議 。2.2 The Client confirms he/she is of required age and mentally fit to enter into this Agreement.客戶確認其已達到法定年齡並無精神障礙，以使簽署的本協議具有法律約束力。2.3 The Client confirms that the information provided in the Account Opening Form is complete and accu
30、rate. The Client shall inform the Company of any change to the information given in the Account Opening Form no later than 24 hours after such changes has occurred. The Company is authorized to conduct credit enquires on the Client to verify the information provided.客 戶 確 認 開 戶 表 格 所 載 資 料 均 屬 完 整 及
31、 正 確 。 倘 載 於 開 戶 表 格 內 的 資 料 有 任 何 變 更 ， 客 戶 將 於 該 等 變 更 後 二 十 四 小時 內 通 知 本 公 司 。 客 戶 特 此 授 權 本 公 司 對 客 戶 的 財 政 信 用 進 行 查 詢 ， 以 核 實 上 述 表 格 所 載 資 料 。2.4 The Company shall undertake to inform the Client any material changes in the Companys corporate particulars, registration status under the SFC, nat
32、ure of services available, corporate management, description of any remuneration to be paid by the Client and the Companys business which may affect the Companys services to the Client.本 公 司 承 諾 通 知 客 戶 有 關 本 公 司 會 影 響 對 客 戶 服 務 的 重 大 公 司 資 料 更 改 、 在 證 監 會 的 註 冊 身 份 、 可 提 供 客 戶 的 服 務 、 企業管理、酬勞費用及業務變
33、化。2.5 The Company shall be entitled to make such amendments, additions, deletions or variations to this Agreement, as the Company considers necessary, and such amendments, additions, deletions, or variations shall take effect when such notice thereof is dispatched to the Client. Such amendments, add
34、itions, deletions, or variations will not affect any outstanding Transactions or any legal rights or obligations which may have arisen prior thereto.本 公 司 有 權 對 本 協 議 書 作 出 認 為 必 須 的 修 改 、 增 補 、 刪 除 或 變 更 。 而 此 等 修 改 、 增 補 、 刪 除 或 變 更 由 該 通 知 發 送 給 客戶 起 生 效 ， 而 上 述 的 修 改 、 增 補 、 刪 除 或 變 更 均 不 影 響 任
35、何 之 前 未 完 成 之 交 易 或 已 產 生 的 法 定 權 利 或 責 任 。2.6 Joint Accounts 聯名帳戶If the Account is opened in the name of two or more person, the following provisions shall apply:若 帳 戶 以 兩 個 或 更 多 人 士 的 名 義 開 設 ， 將 適 用 於 以 下 規 定 ：(i) Each of the Client (being a joint Account holder) shall be jointly and severally l
36、iable for the obligations and liabilities under the Agreement or in connection with any Transaction or contract made under the Agreement, and any demand made by the Company to any one or more of the Account holders so jointly and severally liable shall be deemed to be demand made to all of the Accou
37、nt holders. Notwithstanding the foregoing, the Company is at liberty to release or discharge any one or more of the Client constituting the joint Account holder from liability under the Agreement, or to compound with, accept compositions from or make any other arrangements with any of the Client wit
38、hout in consequence releasing or discharging the remaining joint Account holders from the Agreement or otherwise prejudicing or affecting the Companys rights and remedies against the other persons.每 一 位 客 戶 （ 作 為 聯 名 帳 戶 持 有 人 ） 對 客 戶 協 議 下 的 或 與 根 據 客 戶 協 議 達 成 的 任 何 交 易 或 合 約 相 關 的 義 務 及責任負有連帶責任，本
39、公司向客戶當中一人或更多人發出的任何請求應當視為是向客戶所有人士發出的請求。 儘 管 有 前 述 規 定 ， 本 公 司 可 以 自 由 地 解 除 或 撤 銷 客 戶 當 中 構 成 聯 名 帳 戶 持 有 人 的 任 何 一 人 或 多 人 在 客 戶 協 議 下 之 責 任 ， 或 與 客 戶 任 何 一 人 達 成 協 議 ， 接 受 客 戶 任 何 一 人 的 債 務 重 整 協 議 ， 或 與 客 戶 任 何 一 人 達 成 其 他 任 何 協 議 ， 而 不 因 此 解 除 或 撤 銷 其 他 聯 名 帳 戶 持 有 人 在 客 戶 協 議 下 之 責 任 ， 或 妨 害 或 影
40、 響 本 公 司 針 對 其 他 聯 名 帳 戶 持 有 人 享 有 的 權 利 及 補 償 權 。(ii) The joint Account shall be held by the joint Account holders as joint tenant with rights of survivorship (with the balance of the Account belonging to the survivor).Each joint Account holder irrevocably appoints the other as attorney-in-fact to
41、take all action on his or her behalf and to represent him or her in all respect in connection with the Agreement. The Company is authorized to act upon the Instructions of either of the joint Account holders, send confirmation, advice, notices or other communications to either of the joint Account h
42、olders, or otherwise deal with either of the joint Account holders. Each of the joint Account holders shall be liable, jointly and severally, for any amounts due to the Company pursuant to the Agreement, whether incurred by either or all the Account holders.AMTDGM_CashClientAgreement - 20180109所 有 聯

44、 或 其 他 信 件 ， 或 在 其 他 情 況 下 與 任 何 一 位 聯 名 帳 戶 持 有 人 往 來 。 對 於 根 據 客 戶 協 議 的 規 定 應 向 本 公 司 支 付 的 任 何 款 項 ， 不 論 有 關 債 務 是 其 中 一 位 或 所 有 聯 名 帳 戶 持 有 人 所 引 起 的 ， 每 位 聯 名 帳 戶 持 有 人 均 須 共 同 及 個 別 負 責 。(iii) The Client undertakes to give the Company immediate notice in writing of the death of any joint Acco

In the event of such death, the Company may take such steps, require such documents, retain any part of any Account and restrict Transactions in any Account as the Company may at its discretion deem necessary, advisable or desirable to protect its interests with respect to any tax, liabi

47、 司 在 現 行 或 日 後 的 法 律 下 ， 在 任 何 稅 項 、 法 律 責 任 、 罰 則 或 損 失 方 面 之 權 益 。(iv) All Instructions and Transactions relating to any joint Account or (as the case may be) any service, in the event of the death, or mental and/or other incapacity of or the occurrence of an insolvency event in relation to any on
48、e or more of the joint Account holder shall be subject to any claim or objection of relevant authority and shall be without prejudice to any right which the Company may have arising out of any lien, charge, pledge, set-off, claim, counterclaim or otherwise whatsoever or any step or legal proceedings
49、 which the Company may in its absolute discretion deem desirable to take in view of any claim by any person other than the survivors, executors, administrators of the deceased.當 一 位 或 多 位 聯 名 帳 戶 持 有 人 身 故 、 精 神 失 常 及 或 其 他 喪 失 行 為 能 力 、 或 發 生 無 力 償 債 事 件 ， 所 有 在 聯 名 帳戶 中 的 指 示 及 交 易 或 服 務 （ 視 情 況 而 定 ） 均 受 有 關 部 門 的 任 何 索 價 或 異 議 所 限 制 ， 且 不 應 影 響 本 公 司 因 任 何 留 置 權 、 抵 押 權 、 質 押 權 、 抵 銷 、 索 價 、 反 申 索 或 其 他 原 因 享 有 的 任 何 權 利 ， 亦 不 得 影 響 本 公 司 鑒 於 除 生 存 者 、 遺囑執行人、遺囑管理人的任何申索，而是根據本公司絕對酌情權利認為可適當採取的任何措施或法律程序。2.7 Any complaints or enquiries from the Client could
