24、保护研究- 从企业名称权与商标权冲突解决的角度研究摘要：商标和企业名称分别由不同的法律调整，分属于不同的部门管理，而且在不同的系统、不同的区域检索，这种并行、分别保护的制度以及构成要素的客观重叠是导致企业名称权与商标权冲突的重要原因。目前，我国调整这一权利冲突的立法规定存在保护客体范围较窄、条文操作性不强等不完善因素，商标权与企业名称权冲突的有效解决仍然面临诸多困惑。本文从一起以企业名称侵犯商标权的案例为视角，研究实践中企业名称权与商标权相冲突的原因，并提出解决相关问题的建议，以推动商标保护与企业名称保护的进一步完善。关键词：商标权 企业名称权 冲突的解决内蒙古蒙牛乳业（集团）股份有限公司，自

39、人们的肉眼所感知，因此具有可感知性。二、商标的实质条件分析成为商标必备的实质条件是要求商标具有显著性。所谓商标的显著性是指商标所具有的标示企业商品或服务出处并使之区别于其他企业之商品或服务的属性。商标的显著性不仅包含识别性，还包含与其他商标的区别性，即商标区分商品来源的显著性。蒙牛乳业所注册的“蒙牛” 、 “蒙牛+图案”的商标能够标示出该企业生产的奶产品等的出处，并且让消费者很容易将其生产的产品与其他企业生产的产品区分开，能够有效地显示商品的来源，将“蒙古” 、 “蒙古族”或“内蒙古”等与“牛”意会组合简化而成“蒙牛”二字，作为商标标识的组成部分，显然具有独创性，将“蒙牛”二字用于工商标记，如
40、企业字号、商标等能够起到对相同或类似行业不同经营主体或商品来源的显著性区别作用，因此该商标具有显著性。三、商标被侵权的情况由于蒙牛乳业多年以来在市场上的影响力，其与伊利品牌同时成为家喻户晓的奶产品企业，在市场上的知名度极高，普通消费者对其商标广为熟知，因此很多企业以各种手段侵犯其商标专用权，对蒙牛乳业造成了很大的经济与名誉上的损失。例如，蒙牛酒业公司于 2001 年 8 月成立，当时蒙牛乳业的“蒙牛”品牌已经誉满内蒙古自治区，名播全国，形成高知名度、高美誉度和高市场亲和度，成为蒙牛乳业重要的知识产权和宝贵的无形资产。然而蒙牛酒业公司此时成立，在明知上述情形下，仍恶意申请注册以“蒙牛”为字号的企
41、业名称，生产和销售同样作为奶制品系列的奶酒产品。2002 年 6 月起，蒙牛乳业得知蒙牛酒业公司注册这一企业名称后，便多次且至今不断地致函有关部门反映情况，要求解决未果。蒙牛酒业公司几年来在其生产和销售的奶酒包装及广告宣传中大肆突出使用“蒙牛酒业”四字，字体突出程度远远超过其注册的“昂格丽玛”文字商标，意在使消费者误以为与蒙牛乳业有关联，达到恶意占有蒙牛乳业品牌商誉资源的目的。蒙牛乳业作为中国奶制品行业的龙头企业之一，其所具有的市场影响力与知名度众所周知，上文中提及的蒙牛酒业公司的行为滥用了其企业名称注册权，严重侵害了蒙牛乳业的商标权。当一个主体将“蒙牛图形”用于商标，且该商标同时属于具有较高
