1、供应商廉洁 诚信协议 Supplier Honesty and Integrity Agreement 乙方： Party B： 在甲乙双方业务往来过程中坚持守法、公平和诚信原则，防止各种违法违纪行为的发生，维护双方的合法权益，根据国家、地方相关法律法规和廉洁诚信建设方面的规章制度，经双方协商一致，达成如下廉洁诚信协议以资信守。 In consideration of persisting in the principle of law abiding, fairness and integrity during Party A and Party B business activities,
2、 preventing the occurrence of all kinds of illegal and undisciplined acts or behaviors, maintaining the lawful rights and interests of both parties and in accordance with the law of PRC, local relevant laws and regulations and related rules and regulations of the Honesty and Integrity Cultivation, t
3、he two parties through consultation here by agree upon, and shall be bound by the following agreement. 一 、定义 Definition 本协议中的相关词句应作如下定义： Definition of related terms in the agreement: 1、“不正 当利益”包括但不限于利用职务上的便利收受他人钱财、 物品、购物卡 /券、有价证券等财物，或接受他人的旅游、桑拿、浴足、按摩、 KTV 等安排或各种娱乐场所的VIP 卡、金卡、银卡等，或收受各种名义的提成、回扣归个人所有，或
4、以明显不合理低价的形式购买他人的商品，或借用他人的物品（含车辆），或要求、接受接送服务及报销差旅费，或以任何形式侵占甲方财产，或以任何形式参股乙方（含乙方参股的组织），或索取或变相索取其他财物、好处。 Illegitimate profits include but are not limited to, by taking advantage of duty convenience, the receiving of the property like cash, goods, shopping cards/coupons and securities, the acceptance of
5、the arrangement service from others like touring, sauna, foot bath, massage, KTV or the VIP cards, gold card, silver card of any entertainment place, the receiving of all kinds of percentage of deduction money, rebate and turning into individual possessions; the purchase of the others merchandise at
6、 an obviously low price and borrowing of others goods (including vehicles), the requirement or the acceptance of pickup and delivery service and claiming of reimbursement of travel expense, the embezzlement of party As property and join stock of party B(including the organization that party B joins
7、stock) in various form and the claim or the disguised claim of other property or benefits. 2、甲方人员包括甲方投资人 /股 东、董事、代理 人、谈判代表或其它甲方员工。 Party A personnel include investor/share holder, director, agent, negotiator or the employee of party A. 3、乙方人员包括乙方投资人 /股东、董事、代理人、谈判代表或其它乙方员工。 Party B personnel include
8、investor/share holder, director, agent, negotiator or the employee of party B. 4、“特定关系人”是指甲方人员的配偶、子女、三代以内直系亲属以及其他关系密切的亲属和朋友。 Specific relevant party refer to the spouse, offspring, direct relatives within three generations of party A and the relatives or friends having close relationship with party
9、A. 5、甲方 定点乙方涉及的条款和协议 ； Terms and Agreement in sourcing stage IPTV-甲方对售后汽车质量即千辆车故障管理流程； Incidents Per Thousand Vehicles, procedure of after sales vehicle quality management of party A GT The process shall not be impact, induced or required to be assessed based on one own opinion. Strictly follow the
10、opening bidding rules and commitment. 3、经 BWI确认的采购合同，不得向与采购合同无关的人员和第三方泄露采购合同的任何内容。 Never reveal the content of purchase contract confirmed by BWI to the irrelevant personnel or the third party. 4、严格执行 对供应商 评价、评级 （包括质量，价格，服务和技术） 等方面公布的流程，不得存在排他性、倾向性和歧视性行为。 Strictly execute the published process of su
11、pplier evaluation and rating related on Quality, Price, Service and Technology. Any exclusive, tendentious and discriminatory behaviors are not allowed. 5、 禁止甲方人员及其“特定关系人”有关联的供应商参与招投标。 Any supplier who is relevant to the Party A and the specific relevant party of Party A is forbidden to participate
12、in the bidding and tendering. 6、 甲方人员不得私自接待乙方及其工作人员对甲乙双方采购业务相关事项的询访，不得私自为乙方的业务开展提供公司规定以外的任何便利。 Dont entertain Party B or accept the inquiry related to the purchase business of both parties. Dont provide any convenience beyond companys regulation. 7、甲方人员及其“特定关系人”不得在乙方兼职、投资、参股 或以其他名义从乙方获取兼职工资、红利及其他各种形
13、式的报酬；不得向乙方及其工作人员要求参与或影响乙方的采购业务等相关的经济活动。 Personnel of Party A and specific relevant party are forbidden to take part-time job, invest, join stock, or obtain salary of pail time job, bonus and all kinds of payment Dont request participation in or affect Party Bs purchase business or the related econom
14、y activity. 8、甲方人员不得利用职权或职务之便索取或收受乙方财物，以及其他不正当利益；不得向乙方报销应由甲方或者甲方工作人员个人支付的费用，不得接受乙方及其工作人员以任何名义赠送的“红包”、礼品等，难以拒收的，要及时上交甲方纪委 。 Dont claim for or accept the goods or any other illegitimate profits from Party B by taking the advantage of duty convenience, or claim any expense reimbursement from Party B wh
15、ich shall by paid by Party A or personnel of Party A, or receive the “red packet“ and gift from Party B or personnel of Party B. 9、 甲方人员不得参加乙方及其工作人员组织的可能对公正执行业务有影响的宴请、娱乐和旅游等一切高消费活动，不得要求或者接受乙方及其工作人员为其住房装修、婚丧嫁娶、家属子女的就业以及出国等提供的便利。 Dont participate in the dinners or banquets, entertainment or tour or an
16、y other high-value consumption which are organized by Party B and their personnel and may impact fair business execution. Dont claim for and accept the convenience providing for housing decoration, wedding and funerals, employment and going abroad of own relatives and offspring from Party B and thei
17、r personnel. 10、 保证 IPTV流程和相关人员的公正性，准确评定销后故障模式和故障数， 依据双方拟定的质量协议， 使乙方对销后赔偿合理化。 Guarantee the impartiality of IPTV procedure and relevant personnel; Make accurate judgment of after sales failure mode and failure quantity according the Quality Agreement (QA) so as to ensure the contra compensation rati
18、onalization with Party B. 11、本着“伙伴”关系，在与乙方业务往来中，建立平等、友好、公平、公正、公开的关系，杜绝甲方人员对乙方的居高临下、歧视、刁难等恶劣行为。 In the spirit of “partnership“ establish equal, friendly, fair, justice and opening relationship with Party B during business contact and prevent any behaviors like condescending attitude, discrimination a
19、nd obstruction to Party B. 12、 建立举报投诉渠道，如 有甲方人员违反本协议条款或向乙方索取不正当利益的，乙方可向甲方纪检监察部门如实进行举报投诉。 Set up report and complaint channel. Party B may report and complain truthfully to the discipline inspection and supervision department of Party A if personnel of Party A are found to have the acts of violation
20、of terms of the agreement or claiming illegitimate profits from Party B. 四、乙方责任 Responsibility of Party B 1、按照甲方的采购流程及相关 规 定 ， 参与甲方 的招投标和展开业务活动，不得采取不正当手段或方式获取甲方招投标的 相关信息，不得违反或暗地干涉供应商评审、评定、评价流程，不得联合或串通其他供应商以围标方式参与甲方的招投标。 Participate the bidding and tendering business and activity of Party A by Follow
21、ing the purchase process and related rules of Party A. Obtain the bidding information of Party A by improper means, violate or interfere secretly the supplier review, evaluation and assessment process, participate the bidding of Party A by uniting or colluding with the other suppliers in the way of
22、bidding collusion are not allowed. 2、 不得与甲方人员就招投标、采购合同等相关事项私下进行交涉或交易，以达成某种默契。 Dont have negotiation or deal with the personnel of Party A and reach secret agreement regarding to the bidding and tendering business or purchase contract. 3、不 经甲方同意及审定不得先行实施工程更改、不得变更合同内容 、不得以劣代优、不得变更生产条件（工艺、装备、场所、检测手段等）。
23、 Implement engineering change, modify contract content, replace the superior product with inferior product, or change manufacturing condition (process, equipment, location, test method, etc.) without the agreement or approval from Party A are not allowed. 4、不得 虚增供货数量和价格、提供虚假单据和发票，不得提供虚假的检查、检验、评定报告。
24、Increase supply quantity or price falsely, provide fake receipts or invoice, provide fake inspection, test or evaluation reports are not allowed. 5、不接受甲方人员介绍的“特定关系人”从事与甲方采购业务相关的经济活动。Dont allow the “specific relevant party” introduced by Part A to participate in the activity related to the purchase b
25、usiness of Party A. 6、不接受甲方人员本人及其“特定关系人”在乙方投资入股。 Dont allow Party A in person or the specific relevant party of Party A to invest in or take share in Party B. 7、不以任何理由为甲方人员本人及其“特定关系人”提供、给付不正当利益或达成不正当利益的分成。 Dont provide or offer illegitimate profits to Party A in person and the specific relevant part
26、y. Dont reach agreement about illegal profit dividend. 8、不进行任何会干扰甲方行使或履行相关合同规定的权利或义务的活动，包括但不限于任何涉及不正当商业利益或非法的行为。 Dont take any action that may disturb Party A to exercise or fulfill the rights or obligation described in the related contract, including but not limited to the acts that are illegal or
27、involved in illegitimate business profits. 9、保证不暗地干扰甲 方 IPTV 流程和索赔过程。 Dont disturb IPTV and compensation process of Party A in secret with guarantee. 10、不利用各种社会关系影响、干扰甲方的采购流程和业务活动。 Dont affect or disturb purchase process or business activity by utilizing all kinds of social relationship. 五、违约责任 Resp
28、onsibility for Breach of Contract 1、乙方人员违反本协议的 ，甲方有权选择立即中止 、终止或解除与乙方的采购合同或正在进行的任何交易关系，由此造成 的 不利后果由乙方自行承担。 Party A is entitled to suspend, terminate or relieve the purchase contract or any ongoing transaction relationship with Party B if Party B violates the agreement and Party B shall bear all the u
29、nfavorable consequence thereby. 2、 乙方人员违反本协议的，一经查实，乙方须依法依纪严肃处理，追究有关人员的责任，触犯法律的移交司法机关处理。由此造成甲方的损失由乙方承担。 Party B shall conduct the case seriously and investigate the responsibility if personnel of Party B violate the agreement. Party B may hand over related personnel to judicial authority if violating
30、 the law. 3、甲方人员如有违反本协议的行为， 乙 方有权向甲方纪检监察部门如实举报，甲方应对乙方举报人、举报内容和举报行为进行保密，不得对 乙 方进行打击报复。 Party B is entitled to report the truth to the discipline inspection and supervision department if Party A violates the agreement. Party A shall keep confidentiality for reporter, report content and report behavior
31、 of Party B. Attack or revenge to Party B is forbidden. 六 、其它约定 Other agreement 1、因本协议产生的或与本协议有关的一切争议，双方应协商解决，协商不成，任何一方均有权向甲方所在地人民法院提起诉讼。 Any argument that generates from or is related to the agreement shall be and settled by bilateral negotiation. Either party is entitled to initiate legal proceedi
32、ngs to local Peoples Court of Party B if negotiation fails. 2、甲乙双方同意本协议适用中华人民共和国法律。 Both parties agree that the agreement applies to the laws of the Peoples Republic of China. 七、本协议为双方签署的采购合同的附件，与采购合同具有同等法律效力。本协议一式三份，甲方执二份、乙方执一份，自双方签字盖章之日起生效。 This agreement will be the annex of purchase contract signed by both parties and have the equal legal effect. This agreement is in triplicate. Party A may keep two copies, party B may keep one copy. The agreement takes effect as of the date of signature and seal by both parties.
