Definitions and Interpretation. 第一条：总则和定义 1.1 Cooperation Manner: Both Parties agree that Party A shall sell the products by OEM, Meanwhile, Party B shall develop、 manufacture and provide ,by OEM ,
4、Products with the brand designated by Party A (the “Products”). 合作方式：双方同意 A方以 OEM方式销售合作产品， B方采用 OEM方式研发、2 生产并提供合作产品，合作产品的商标由 A方授权。 1.2 Definitions:定义： 1.2.1 Products: 合作产品：是指 B方根据 A方或 A方客户要求设计、研发、生产的 产品； 1.2.2 OEM: The Products with the brand designated by Party A shall be technically based on the p
5、roducts developed and designed by Party B and approved by Party A. OEM方式 : 指 A方授权 B方在产品或产品的载体上印制 A方名称和商标，同时 A方也有权禁止 B方将其名称和商标印制在产品上； 1.2.3 Purchase Order: 订单：指 A方出具的用于向 B方订购产品的正式文件。 1.3 Duration: This Agreement shall be for a period of years from the date of execution unless terminated earlier in ac
6、cordance with the provisions of this Contract. 协议有效期：本协议自签订之日起生效，有效期为 年。本协议自有效期满时终止或本协议中约定的终止情况发生时终止。 Section 2. Brand and Trademark: 第二条：商标 2.1 Party A grants Party B to use the Brand and Trademark on the products. A方授权 B方在合作产品上使用 A方名称和商标。 2.2 Party B undertakes not to use the Trade Mark in any way
7、 without the expressed approval of Party A. The Trade Mark can only be used in products as approved by parties. B方按双方约定范围和方式使用 A方提供的名称和商标，不侵 犯 A方名称或商标。 2.3 Party A warrants that the Brand and Trademark do not infringe any admissible intellectual property right of any third party, Otherwise, Party A
8、shall indemnify Party Bs loss and damage result from such infringement (including but not limited to attorney fee, any penalty, damage or compensation) . A 方保证其提供的名称和商标等不侵犯任何人的权利，若 B 方因产品侵权而导致的一切损失（包括但不限于直接经济损失、律师费等）， A方应予以赔偿。 2.4 Party A shall provide Party B with the corresponding brand symbol, br
9、and LOGO image and other relevant brand and/or design. The cost of putting the brand on the Products 3 shall be for the account of Party B. A方应当将相应的商标、商标 LOGO设计以及其他相关的商标或设计提供给 B方。将商标印制在产品上的费用由 B方承担。 Section 3 .Products, Quality Standards 第三条：产品质量标准 Party B hereby guarantees that the Products provide
10、d to Party A will comply with the quality standards provided in this Agreement, country standards, Party As factory standard or as maybe agreed upon in writing by both parties. If the liability of the product s quality is caused by As directions, B will not be with responsibility for the liability.
11、B 方承诺，提供给 A 方的产品符合本协议约定的质量标准或 B 方的工厂标准或者双方书面同意的标准。 如果产品的质量责任是由 A方的指示造成的， B方不承担相关责任 . Section 4. Rights and Obligations 第四条：双方的权利与义务 4.1 Party A warrants that it shall not divulge relevant technical materials to a third party. In case of violation by Party A of its warranty, Party B shall have the ri
12、ght to terminate this Agreement immediately by giving written notice to Party A. A 方承诺，不会将所获悉的 B 方的相关技术资料泄露给第三方。如果 A 方违反其承诺， B 方在书面通知 A 方后有权立刻终止本协议，并要求 A 方赔偿由此引起的一切损失。 4.2 Party A further warrants that it will not dismantle or dissect the Products or counterfeit the Products. In case of violation by
13、 Party A of its warranty, Party B shall have the right to terminate this Agreement immediately by giving written notice to Party A. When the Intellectual Property Rights of Party B is violated, Party B shall have the right to claim the legal and/or economic compensation from the Party A. A方进一步承诺，不拆解
14、产品或者仿冒产品。如果 A方违反其承诺， B方在书面通知 A方后有权立刻终止本协议。并且 B方有权要求 A方给予经济赔偿。 4.3 Party B warrants that it shall not directly or indirectly contact with Party As 4 customer or sell product, whether directly or indirectly to Party As customer. Except the approval of Party A. B 方保证，不直接或间接和 A 方客户联系，并且不直接或间接向 A 方客户销售产品
15、， A方同意除外。 4.4 Party B warrants that the Product do not infringe any admissible intellectual property right of any third party, including, but not limited to, copyright, patent and/or trade secret. B 方保证， OEM 产品不 侵犯任何第三方的知识产权，包括但不限于，著作权、专利权或商业秘密。 4.5 Party B warrants and shall provide the technical m
16、aterials covering the Products and shall help Party A finish the corresponding advertising materials and manuals. B方保证，提供有关产品的技术资料，协助 A方完成相应的说明资料和手册 . 4.6 Party B warrants and shall provide Party A with relevant written instructions covering technical problems under the Users Service. B方保证，在用户服务中向 A
17、方提供相关的书面的技术问题的说明。 4.7 Party B warrants and shall inform Party A of any a new product. B方保证，在有任何新产品时将通知 A方。 Section 5. Intellectual Property. 第五条：知识产权 5.1 The Intellectual Property of the Brand and Trademark belongs to Party A， the infringement and all expense because of the band and trademark should
18、 be compensated by A 合作产品中的商标的知识产权由 A 方享有 ,因商标产生的侵权责任及全部损失由 A方承担。 5.2 The Intellectual Property of the Products belongs to Party B， except the Brand and Trademark.合作产品除商标权外的知识产权由 B方享有。 Section 6. Order. 第六条：订货 6.1 The Purchase Order sent by Party A, should include the product name、 price、5 quantity、
19、 shipment、 insurance、 payment and so on. And Party B should accept or refuse or request to change it in 5 work-days. 对于每一单合作产品的订货， A 方向 B 方发出订单，订单内容应包括产品名称、价格、数量、装运方式、保险、付款方式等。对订单内容， B方在 5个工作日内表示接受或拒绝或要求变更。 6.2 Once Party B accept the purchase order, Party A cannot change or cancel it without the ap
20、proval of Party B. 在 B方接受订单后， A方不得随意变更 或取消 订单，若需变更需征得 B方同意。 Section 7. Payment 第七条：付款方式 7.1 The payment shall be paid by Party A to Party B under an irrevocable letter of credit within seven(7) days after Party B has received Purchase Order from Party A. 在 B方接受订单后的 7日内， A方应向 B方开出不可撤消即期信用证。 Section 8
21、.Termination 第八条：协议终止 8.1 Either Party may terminate this Contract, by giving a 60 days prior written notice to the other Party. 任何一方均可以提前终止本协议，只需提前 60天书面通知对方即可。 8.2 Without prejudice to either parties other remedies, either party shall have the right to terminate the Contract forthwith if: 若不影响一方采取
22、其他补救措施时，另一方均有权根据以下条款终止合同： a) Any party commits a material breach or persistent breaches of the Contract and fails to remedy the breach within 7 days of receiving of written notice to do so; or一方构成重大违约或惯常违约，且在接到对方书面通知后的 7天内没有采取修正措施；或者 b) Any party becomes insolvent, ceases to trade, compound with its
23、 credits, commits an act of bankruptcy, or a bankruptcy petition or bankruptcy order is presented or has a receiver appointed, or a resolution or petition to wind up the Party is passed or presented (otherwise than for reconstruction or amalgamation). 6 一方无能力继续履行合同、信用损毁、面临破产或受破产的申请或命令，或被指定接管，或者结束该方的
24、决议或申请被通过或提交（除重组和合并之外）。 Section 9. Force Majeure 第九条：不可抗力 9.1 “Force Majeure“ shall mean all events which are beyond the control of the Parties to this Contract, and which are unforeseen, unavoidable or insurmountable. Such events shall include earthquakes, typhoons, flood, fire, war, strikes, riots,
25、 acts of governments, changes in law or the application thereof or any other instances which cannot be foreseen, prevented or controlled, including instances which are accepted as Force Majeure in general international commercial practice. 不可抗力事件是指不能预见、不能避免并不能克服的客观事件，包括自然灾害、火灾、水灾、台风、 海上风险和意外及其它恶劣的天气
26、状况、战争、动乱、暴乱、罢工、政府部门及其授权部门的任何法律、命令、文告、法规、法令和要求及其它不能控制的客观事件。 9.2 The Party claiming Force Majeure shall promptly inform the other Parties in writing and shall furnish sufficient proof of the occurrence and duration of such Force Majeure. 任 何一方在发生不可抗力事件后应及时书面通知对方该事件的开始日期和预期持续时间。 9.3 A party cannot clai
27、m any compensation and/or damages based on delay or non-fulfillment of obligations by the other party due to force majeure. 由于不可抗力事件，一方迟延或未完全履行合同义务，另一方不能因此要求任何补偿或赔偿。 Section 10.Confidentiality 第十条：保密 The Parties should: (a) maintain the confidentiality of Confidential Information; (b) not use Confid
28、ential Information for any purposes other than those specifically set out in this Contract; and 7 (c) not disclose any such Confidential Information to any person or entity, except to its employees or employees of its Affiliates, its agents, attorneys, accountants and other advisors who need to know
29、 such information to perform their responsibilities 双方对在合作过程中所知悉的对方的商业秘密应严格保守，不得透露给任何第三方或利用对方的商业秘密营利。 Section 11. Settlement of Disputes. 第十一条：法律与争议解决 11.1 The validity, interpretation and implementation of this Contract shall be governed by the laws of the Peoples Republic of China. 本协议的订立、解释和履行均适用
30、中华人民共和国法律。 11.2 In the event of any dispute, controversy or claim arising out of or relating to this Contract, the Parties shall attempt in the first instance to resolve such dispute through friendly consultations. In the event that no settlement can be reached , such disputes shall then be submitted to SHANGHAI for arbitration. 因履行本协议产生的纠纷，双方应友好协商解决；若协商不成，双方一致同意提交上海 仲裁委员会进行仲裁。 Section 12.
